Effective date: October 2, 2026
These Terms of Service (“Terms”) govern your access to and use of LedgerBot, a bookkeeping and financial-management software service operated by TallyHo LLC, a California limited liability company (“LedgerBot,” “we,” “us,” or “our”).
By creating an account, purchasing a subscription, or using LedgerBot, you agree to these Terms. If you use LedgerBot for a business or other organization, you represent that you have authority to accept these Terms on its behalf.
1. The LedgerBot Service
LedgerBot provides software tools that may include:
- Transaction importing and categorization - Connections to financial accounts and bookkeeping platforms - Receipt and document processing - Invoice and payment-link creation - Tax estimates and financial reports - Merchant rules and bookkeeping automation - Payment reminders and collection workflows - Other bookkeeping and financial-management features
Features may vary by subscription, account configuration, third-party availability, and location.
2. Eligibility and Accounts
You must be at least 18 years old and legally capable of entering into a contract.
You agree to provide accurate account information, protect your login credentials, and promptly notify us of suspected unauthorized access. You are responsible for activity occurring through your account unless caused by LedgerBot’s failure to use reasonable security measures.
You may not share an account in a manner that exceeds your subscription’s permitted users or clients.
3. Not Professional Advice
LedgerBot is a software platform. It is not a certified public accountant, bookkeeper, attorney, tax preparer, financial adviser, bank, or government agency.
Reports, classifications, tax estimates, suggestions, alerts, and other outputs are informational and may contain errors. They are not accounting, tax, legal, investment, or financial advice.
You are responsible for:
- Reviewing transactions, classifications, reports, and documents - Determining whether LedgerBot’s outputs are correct - Maintaining legally required records - Filing returns and making payments on time - Consulting qualified professionals when appropriate
LedgerBot does not guarantee tax savings, regulatory compliance, payment collection, financial performance, or the accuracy of information received from third parties.
4. Financial Accounts and Third-Party Services
LedgerBot may connect with third-party services such as Plaid, QuickBooks, payment processors, banks, and artificial-intelligence or document-processing providers.
When you connect a third-party account, you authorize LedgerBot and its service providers to access, retrieve, process, and display permitted data as necessary to provide the requested features.
Your use of a third-party service may also be governed by that provider’s terms and privacy policy. LedgerBot does not control third-party services and is not responsible for their outages, errors, data practices, or changes.
You are responsible for confirming that you have permission to connect each account and process the associated information.
5. User Content and Data
“User Content” includes financial records, transaction information, receipts, documents, customer information, account mappings, rules, and other material submitted to LedgerBot.
You retain ownership of your User Content. You grant TallyHo LLC a limited, nonexclusive license to host, copy, process, transmit, and display User Content solely as needed to:
- Provide and secure LedgerBot - Perform actions you request - Maintain the service - Comply with legal obligations - Prevent fraud, abuse, and security incidents
Our collection and handling of personal information are also governed by the LedgerBot Privacy Policy.
You represent that you have the necessary rights and permissions to provide all User Content submitted through your account.
6. Automated and AI-Assisted Features
LedgerBot may use automation, machine learning, optical character recognition, or artificial intelligence to interpret documents, suggest categories, identify exceptions, generate descriptions, or assist with other tasks.
These results may be incomplete or incorrect. You must review generated results before relying on them or using them for accounting, tax, payment, or business decisions.
Unless a feature clearly states otherwise, LedgerBot will not intentionally initiate a financial transaction or external communication without user authorization or an enabled automation configured by the user.
7. Payments, Invoices, and Reminders
LedgerBot may help users create invoices, payment links, reminders, or collection workflows. LedgerBot is not the merchant of record for payments between you and your customers unless expressly stated.
You are responsible for:
- The accuracy and legality of invoices and payment requests - Obtaining any required customer consent - The content and frequency of reminders - Compliance with collection, communications, privacy, and consumer-protection laws - Resolving disputes, refunds, chargebacks, and tax obligations involving your customers
LedgerBot does not guarantee that an invoice or reminder will result in payment.
8. Subscription Billing and Automatic Renewal
Some LedgerBot features require a paid subscription. Current pricing, billing intervals, usage limits, and included features will be presented before purchase.
By purchasing a recurring subscription, you authorize us or our payment processor to charge the payment method provided at each billing interval until you cancel.
Your subscription automatically renews unless canceled before the next renewal date. You may request cancellation by emailing support@ledgerbot.org from your account email address. Cancellation ordinarily takes effect at the end of the current paid billing period.
Payments are nonrefundable and unused time is not prorated except when required by law or expressly stated at purchase.
We may change subscription prices or material billing terms by providing advance notice required by applicable law. Continued use after the effective date of a properly disclosed change constitutes acceptance of the updated price or terms.
Any free plan, promotional period, or trial is governed by the conditions presented when you enroll. We may modify or discontinue free offerings prospectively.
You are responsible for applicable taxes other than taxes imposed on TallyHo LLC’s income.
9. Acceptable Use
You may not use LedgerBot to:
- Violate any law or another person’s rights - Access accounts or data without authorization - Submit false, fraudulent, or misleading financial information - Facilitate fraud, money laundering, tax evasion, or unlawful collection activity - Upload malware or interfere with LedgerBot’s operation - Circumvent security, access, or usage restrictions - Reverse engineer the service except where applicable law expressly permits it - Resell or commercially exploit LedgerBot without written permission - Use automated methods that impose an unreasonable burden on the service
We may investigate suspected violations and restrict access when reasonably necessary to protect users, LedgerBot, or third parties.
10. LedgerBot Intellectual Property
LedgerBot and its software, interfaces, branding, documentation, designs, and underlying technology are owned by TallyHo LLC or its licensors.
Subject to these Terms, we grant you a limited, nonexclusive, nontransferable, revocable right to use LedgerBot for your internal personal or business purposes during your subscription.
These Terms do not transfer ownership of LedgerBot or its intellectual property to you.
11. Feedback
If you provide suggestions or feedback, you permit us to use them without restriction or compensation, provided that doing so does not give us ownership of your confidential financial information or User Content.
12. Availability and Changes
We work to keep LedgerBot available but do not guarantee uninterrupted or error-free operation. Maintenance, security incidents, third-party outages, technical failures, or events outside our reasonable control may temporarily affect the service.
We may add, modify, or discontinue features. If a change materially reduces the core functionality of a paid subscription, we will provide reasonable notice when practicable.
13. Suspension and Termination
You may stop using LedgerBot at any time. Subscription cancellation does not automatically entitle you to a refund.
We may suspend or terminate access if:
- You materially violate these Terms - Required payments are overdue - Your use creates a security, legal, or fraud risk - Suspension is necessary to protect users or third parties - We are legally required to do so
When reasonably possible, we will provide notice and an opportunity to correct the issue.
After termination, access to User Content may end. You should export records you are required to retain. We may retain information when required by law, necessary for security or dispute resolution, or described in the Privacy Policy.
14. Disclaimer of Warranties
To the fullest extent permitted by law, LedgerBot is provided “as is” and “as available.”
TallyHo LLC disclaims implied warranties of merchantability, fitness for a particular purpose, noninfringement, and any warranties arising from course of dealing or usage of trade.
We do not warrant that LedgerBot will be uninterrupted, error-free, completely secure, or suitable for every accounting, tax, or regulatory requirement.
Nothing in these Terms excludes warranties or consumer rights that cannot legally be waived.
15. Limitation of Liability
To the fullest extent permitted by law, TallyHo LLC and its owners, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business opportunities, goodwill, or data.
To the fullest extent permitted by law, TallyHo LLC’s total liability arising from LedgerBot or these Terms will not exceed the greater of:
1. The amount you paid to TallyHo LLC for LedgerBot during the twelve months immediately preceding the event giving rise to the claim; or 2. One hundred U.S. dollars.
These limitations do not apply where prohibited by law or to liability that cannot legally be limited.
16. Indemnification
If you use LedgerBot for business purposes, you agree to defend and indemnify TallyHo LLC against third-party claims arising from your unlawful use of LedgerBot, your User Content, your violation of these Terms, or your violation of another person’s rights.
This obligation does not apply to the extent a claim results from TallyHo LLC’s own unlawful conduct, gross negligence, or willful misconduct.
17. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
Any dispute not resolved informally will be brought in a state or federal court with proper jurisdiction in Solano County, California, unless applicable law requires another location.
Nothing in these Terms limits rights available to consumers under mandatory law.
18. Changes to These Terms
We may revise these Terms periodically. If a change is material, we will provide reasonable advance notice through LedgerBot, by email, or through another appropriate method.
The updated Terms will identify their effective date. Your continued use after that date constitutes acceptance, except where affirmative consent is required by law.
19. General Terms
If any provision is unenforceable, the remaining provisions remain effective. Our failure to enforce a provision is not a waiver.
You may not transfer these Terms without our written consent. TallyHo LLC may transfer them as part of a merger, acquisition, financing, reorganization, or sale of assets.
These Terms, together with the Privacy Policy and any plan-specific terms presented at purchase, constitute the agreement governing your use of LedgerBot.
